DEALER POLICY FOR
THE ANNUAL MAINTENANCE PLAN

Direct End-User Support by PSW (Level I)

Support applies to all modules in use, not just selective ones.  In other words, if a client is using General Ledger and Payroll, they cannot subscribe to just Payroll.  The systems interact with one another and it would be difficult to only support one system without the need to support the other.

 

TECHNICAL SUPPORT

- Minimum charge is $250 per PC client and $500 per AS/400 client. (some limitations may apply).

0%   on custom portion converted to generic.

3%   of the Value of the custom portion (NOTE: regarding updates, only those enhancements
         within the generic portions of the system will be included as part of Annual Maintenance.
         The custom portions of the system  can be integrated into the latest version based upon
         a quoted fee).

Quarterly Licensing Subscription Option:
          10% per month, of Annual Maintenance, paid on a quarterly basis with a limit of 15 calls
          in any one calendar month.  For example, if an end user purchases 6 modules @ $895 per
          module = $5,370, the Annual Maintenance would be $5,370 x 20% = $1,074, and their
          quarterly cost will be $1,074 x 10% x 3 (months) = $322.


End-Users referred to PSW by a Dealer (that doesn't want to do support)

20% rebate of Annual Maintenance collected from their client.
        (i.e. 1/5th of it or 4% of the 20% would be rebated)
             (some restrictions and conditions may apply)

-Commissions from Referrals

                       - PSW has 0% participation in hardware

  # by PSW        - Dealer has 0% participation in software/custom
                       - PSW expects minimum 20% on hardware's Gross Profit as a

End-Users Support through Dealers: (Level II)

Annual Maintenance - includes: End-User Updates, and Product R&D:

   **Tech Support for Dealers is FREE (for now).**

   x% of the current retail price per module (is to be paid by the dealer.  Assumption is that the
   dealer will be recovering this fee by marking it up then passing it on to the end-user).
   x = 8% on Windows and AS/400 modules (versions 8.0 and above)
        (i.e. This is 10% less 2% dealer rebate, same as above)

Dealer and/or Dealer's In-House Staff:

0% on generic modules

n/a regarding custom portions as this will be supported by PSW if custom work was done by PSW: PSW will have no involvement in the custom that was done.

If NOT on Annual Maintenance:

Telephone Technical Support will be offered on a credit card or pre-paid basis @ $3.50 per minute with a minimum 15 min. per call charge.

Updates will be available as follow:
From   DOS Ver. x.x  to Win Ver. 8.1+     $395 (upgrade)
         WIN   Ver. 8.1 to Win ...              $350 (per module)
         AS/400 Ver 7.34 to ...                 (to be determined)

Frequency of Updates:

Updates for all modules (except Payroll) are released once a year; however, if certain modules receive significant enhancements then an update will occur more often.  The Payroll module normally will receive 2 to 3 updates each year:
1. our normal update in December for the following year,
2. again during the 1st quarter which addresses DE-6 form changes, and
3. in June for states on a 7/1-6/30 fiscal year that are changing their state withholding rates.

AS/400 Translation Software License Fee:

The above Annual Maintenance Plan does not include the ESS/400 licensing fee or annual renewal.  Per latest e-mail "preliminary" agreement with ESS, the initial year's licensing fee is to be either 10% ($185 per module) or a fixed $200 per module - either way it is included in our base module price.  The annual renewal fee however is not converted in our AMP Plan and (as of now) will be billed separately.
